Terms of Service
Last updated: November 4, 2026
These Terms of Service (the “Terms”) govern your use of the Paleo website at paleo.build (the “Site”) and the Paleo desktop application for macOS, including its updates and bundled tools (the “App”, and together with the Site, the “Services”). The Services are operated by Jordan Zietz, San Francisco, California, USA (“Paleo”, “we”, “us”). By downloading, installing, or using the Services you agree to these Terms. If you do not agree, do not use the Services.
Paleo is an independent re-implementation of the workflow popularized by Conductor, a product of Melty Labs, Inc. These Terms are modeled on the structure of Conductor’s Customer Terms and Conditions and Privacy Notice, adapted to a local-only application. Paleo is not affiliated with, endorsed by, or sponsored by Melty Labs, Conductor, Meta, Anthropic, OpenAI, GitHub, or Apple.
1. The Services
The App runs entirely on your Mac. It creates git worktrees for your repositories, launches third-party coding agents (such as Anthropic’s Claude Code and OpenAI’s Codex) under your own accounts, and provides a chat, terminal, diff review, and pull-request workflow around them. We do not operate servers that store your code, prompts, chats, or repositories. The Site provides information about the App, download links, and these legal documents.
2. License
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the App on Mac computers you own or control. Portions of the App consist of open-source components, which are licensed to you under their own licenses; where such a license conflicts with these Terms, that license governs the component. If we publish the App’s source code under an open-source license, that license governs the source code.
You may not:
- remove or alter proprietary notices, or distribute modified builds under the Paleo name or logo without our written permission;
- use the Services to violate any law, infringe any third party’s rights, or circumvent the terms of a model provider, GitHub, or any other third-party service;
- use the Services to build, train, or improve a competing artificial-intelligence model from outputs you did not have the right to use for that purpose;
- interfere with the security or integrity of the Services, including the update feed and signed binaries.
3. Third-party services and bring-your-own accounts
The App works with services you choose and authenticate yourself, including Anthropic (Claude Code), OpenAI (Codex), GitHub, and the macOS features of Apple. Your use of each of those services is governed solely by that provider’s terms and privacy policy, and any fees they charge are yours. We are not responsible for the availability, behavior, or output of third-party services, for changes they make, or for decisions they make about your accounts.
Agent binaries are downloaded from their vendors’ official distribution channels and verified before use. Those binaries are licensed to you by their vendors, not by us.
4. GitHub App
If you connect GitHub, the App uses a GitHub App registration named “Paleo” to obtain a token that acts on your behalf with the permissions you grant during installation (for example reading and writing repository contents and pull requests). The token is stored in the macOS Keychain on your Mac and is used only from your Mac. You can revoke it at any time from your GitHub settings.
5. Your content and AI output
You own your repositories, prompts, chats, and the output generated by agents you run (“Your Content”). We claim no rights in Your Content and, because the App is local-only, we do not receive it. You are responsible for Your Content and for reviewing AI-generated output before relying on it, committing it, or shipping it. AI output may be inaccurate, insecure, or similar to output produced for others, and is provided “as is”.
6. Updates and changes
The App may check a static update feed and install signed updates automatically when you allow it. We may change, suspend, or discontinue any part of the Services at any time, and we may release updates that add, change, or remove features. We have no obligation to provide support, maintenance, or any particular level of availability.
7. Feedback
If you send us ideas, suggestions, or bug reports, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE. Coding agents can modify, delete, or publish files and run commands on your Mac; you are responsible for reviewing their actions and keeping backups.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CODE, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
10. Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of third-party services through the App, or your violation of these Terms or of any law or third-party right.
11. Termination
You may stop using the Services at any time by deleting the App and its data. We may terminate or suspend your license if you breach these Terms. Sections 5 and 7 through 13 survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the State of California and the federal laws of the United States, without regard to conflict-of-laws rules. Before filing a claim, you agree to contact us at jordan@zietz.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to their personal jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction.
13. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Services. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a transfer of the Services. We may update these Terms by posting a new version on the Site with a new “Last updated” date; material changes take effect when posted, and your continued use after that constitutes acceptance.
